These Terms of Service and Terms and Conditions ("Terms") govern the purchase and use of URS PropertyShield services offered by United Restoration Services, Inc. ("URS", "URS PropertyShield", "United Restoration", "we", "us", or "our"). By purchasing, ordering, accepting, or using URS PropertyShield services, the client ("Client", "you", or "your") agrees to these Terms.
1. About URS PropertyShield
URS PropertyShield is a building documentation and restoration-readiness service designed to help building owners, property managers, facilities teams, condo/co-op boards, commercial property owners, schools, institutions, and homeowners better understand and organize selected property information before an emergency occurs.
Depending on the package purchased, URS PropertyShield may include one or more of the following:
- Building documentation and visual records
- AI-assisted review of selected property or building information
- Matterport 3D Scan Certified documentation
- Digital Twin and remote building walk-through access
- Basic floorplan or layout documentation
- Shutoff, access, mechanical-room, basement, common-area, or high-value-space documentation
- Emergency-readiness and restoration-readiness observations
- Risk-priority observations based on available information
- Photo documentation
- Report preparation
- Restoration service credits, where applicable
The exact scope of services will depend on the package selected, any written proposal, written order form, written estimate, invoice, or other written agreement issued by URS.
2. What URS PropertyShield Is Not
URS PropertyShield is not a substitute for a full professional inspection, engineering evaluation, architectural review, environmental assessment, mold assessment, lead inspection, code-compliance review, insurance evaluation, legal opinion, reserve study, property condition assessment, capital-needs assessment, or life-safety audit.
Unless separately contracted in writing, URS PropertyShield does not include:
- Engineering services
- Architectural services
- Structural analysis
- Code-compliance determinations
- Legal advice
- Insurance coverage advice
- Mold assessment, mold inspection, or mold testing
- Lead inspection, lead risk assessment, or XRF testing
- Asbestos inspection or testing
- Indoor air-quality testing
- Environmental sampling or laboratory analysis
- Fire protection or life-safety certification
- Security consulting
- Ongoing emergency monitoring
- Ongoing surveillance
- Real-time leak detection
- Alarm monitoring
- Guaranteed risk detection
Any recommendations, observations, or priorities provided through URS PropertyShield are limited to the information available to URS at the time of service and are intended as practical restoration-readiness and documentation support only.
3. No Guarantee of Risk Identification
Client understands and agrees that URS PropertyShield does not guarantee that all risks, hazards, defects, hidden conditions, moisture conditions, leak sources, mold conditions, fire risks, structural issues, maintenance problems, safety concerns, code issues, emergency conditions, or other property issues will be identified.
Buildings are complex, and many issues may be concealed, intermittent, inaccessible, undocumented, or outside the scope of the service. URS PropertyShield is intended to improve documentation and readiness, not to eliminate all risk.
4. AI-Assisted Review Disclaimer
URS PropertyShield may use AI-assisted tools to help organize, summarize, classify, review, or prioritize selected building information. AI-assisted review is used as a support tool and does not replace professional judgment, field experience, or separately licensed professional services.
AI-generated or AI-assisted outputs may be incomplete, inaccurate, outdated, or dependent on the quality of the information provided. URS may review and refine AI-assisted outputs, but Client remains responsible for independently evaluating any decisions made based on the service.
URS does not represent that any AI-assisted output is exhaustive, definitive, or suitable for use as an engineering, legal, insurance, code, environmental, or professional compliance opinion.
5. Matterport, Digital Twin, Remote Walk-Through, and Floor-Plan Limitations
Where included, Matterport 3D Scan Certified documentation, Digital Twin access, remote building walk-through access, floor plans, measurements, images, and similar digital assets are documentation aids only.
They are not:
- Architectural drawings
- Engineering drawings
- Survey documents
- Code-compliance documents
- Construction documents
- Permit documents
- Life-safety plans
- Guaranteed measurements
- Full condition assessments
Measurements, dimensions, layouts, floor plans, and visual records may be approximate and should not be relied upon for construction, bidding, code compliance, engineering, legal, or regulatory purposes without independent verification by the appropriate qualified professional.
6. Client Responsibilities
Client is responsible for:
- Providing accurate and complete information
- Identifying areas to be documented
- Providing safe and reasonable access to the property
- Obtaining any necessary permissions from owners, tenants, occupants, management, boards, or other parties
- Notifying URS of known hazards, restricted areas, security requirements, confidentiality concerns, or site rules
- Providing accurate contact information
- Reviewing deliverables and notifying URS of any concerns within a reasonable time
- Using the deliverables appropriately and within the limitations described in these Terms
Client represents that it has the authority to authorize URS to access and document the property and to collect photos, scans, building information, and related materials as part of the service.
7. Site Access, Safety, and Scheduling
Unless URS separately agrees in writing, onsite URS PropertyShield walkthroughs, floor-plan documentation, Matterport or Digital Twin documentation, and related field services are currently offered in the New York metro area. Remote record-review services may be available based on submitted records and the selected package.
Client must provide safe access to all areas included in the agreed scope. URS may decline to enter or document areas that URS determines, in its sole discretion, are unsafe, inaccessible, unsanitary, restricted, hazardous, or outside the agreed scope.
Scheduling is subject to availability, site readiness, weather conditions where relevant, access conditions, staffing, emergencies, and other operational factors. URS may reschedule services when reasonably necessary.
If URS arrives for a scheduled service and cannot complete the work because access is unavailable, the site is not ready, required authorization is missing, or conditions are unsafe, additional fees may apply.
8. Deliverables
Deliverables may include reports, photos, scans, links, digital files, floor-plan documentation, observations, checklists, summaries, or other materials identified in the applicable proposal, package description, invoice, or written agreement.
Unless otherwise stated in writing, delivery timelines are estimates and not guarantees. URS is not responsible for delays caused by Client, third-party platforms, missing information, access limitations, technical issues, or circumstances outside URS’s reasonable control.
If a deliverable contains a factual error in what URS documented, Client may notify URS and URS will correct the error and reissue the affected deliverable at no additional charge, within three (3) business days of confirming the error. This commitment is available for as long as Client’s PropertyShield Readiness Updates coverage is active, including the first year of coverage included with the initial purchase. It covers errors in URS’s documentation of the property and of the records URS reviewed. It does not extend to conditions that were not observable or documented at the time of service, to information Client did not provide or provided inaccurately, or to disagreements about URS’s professional assessment, recommendations, prioritization, or scoring. Nothing in this paragraph limits Section 3, Section 15, or Section 21.
9. Use of Deliverables
Client may use the deliverables for internal property documentation, emergency-readiness planning, facilities coordination, restoration-readiness planning, and related business or property-management purposes.
Client may not use URS deliverables as a substitute for professional advice or certification outside the stated scope of URS PropertyShield. Client may not alter, misrepresent, resell, publish, or commercially exploit deliverables without URS’s written consent, except as reasonably necessary for Client’s internal business or property-management purposes.
10. Ownership and License
Unless otherwise agreed in writing, URS retains ownership of its templates, processes, formats, methods, report structures, know-how, service methodology, and proprietary materials. Client receives a limited, non-exclusive, non-transferable license to use the final deliverables for Client’s internal purposes.
Client retains ownership of Client-provided information, subject to the rights granted to URS to use such information to perform the services, prepare deliverables, communicate with Client, maintain records, improve operations, and comply with legal or business obligations.
Third-party platforms may have their own ownership, license, and access terms, including Matterport or cloud-delivery providers.
11. Photos, Scans, Building Data, and Sensitive Property Information
Client understands that photos, scans, Digital Twins, remote walk-through access, floor plans, property documents, shutoff locations, access routes, mechanical-room information, security-sensitive areas, emergency contacts, and related building documentation may contain sensitive property information.
Client is responsible for deciding what information may be documented, shared, or uploaded. URS will use commercially reasonable efforts to handle such information appropriately, but no digital system, cloud platform, email system, or file-sharing process is completely secure.
12. Third-Party Platforms and Tools
URS may use third-party platforms and service providers to perform and deliver URS PropertyShield services, including Matterport, cloud storage providers, payment processors, CRM systems, email platforms, analytics tools, AI-assisted review tools, and other vendors.
URS is not responsible for the acts, omissions, availability, security, downtime, data practices, terms, or technical limitations of third-party platforms. Client’s access to certain deliverables may depend on third-party platform availability and terms.
13. Fees, Payment, Cancellations, and Refunds
Fees are stated in the applicable proposal, order page, invoice, estimate, or package description. Payment terms are due as stated at the time of purchase or on the invoice.
If Client cancels before URS has begun work on the file, URS will refund the fee in full. “Begun work” has the meaning stated below in this Section 13.
For services that include a scheduled site visit, Client may cancel or reschedule by providing at least forty-eight (48) hours’ notice before the scheduled appointment.
Cancellations made less than forty-eight (48) hours before the scheduled appointment may be subject to a flat cancellation fee of two hundred twenty-five dollars ($225). This fee applies only to services that include a scheduled site visit.
Client may reschedule one appointment at no additional charge if the request is made at least forty-eight (48) hours before the scheduled appointment. Additional rescheduling requests, or rescheduling requests made less than forty-eight (48) hours before the scheduled appointment, may be subject to a rescheduling fee.
If URS arrives at the property and cannot perform the service because access is unavailable, required authorization has not been provided, the site is not ready, Client-provided information is inaccurate, required personnel are unavailable, or conditions are unsafe or outside the agreed scope, URS may charge the same flat fee of two hundred twenty-five dollars ($225) as a no-access fee. In such cases, URS may also treat the appointment as a late cancellation.
URS has “begun work” once URS starts site work, scanning, photography, building documentation, AI-assisted review, report preparation, floor-plan preparation, Matterport 3D Scan Certified documentation, Digital Twin preparation, remote walk-through setup, or other service-related work. From that point fees are non-refundable except as required by law or agreed by URS in writing. Client still receives the completed deliverables for the work performed.
For records-only services that do not include a scheduled site visit, including PropertyShield Snapshot, URS has begun work when review of Client’s submitted intake begins.
If URS is unable to perform the service due to its own scheduling, staffing, or operational issue, URS will provide Client a rescheduled appointment, a service credit, or a refund.
Because URS PropertyShield is a documentation and restoration-readiness service, refunds are not provided merely because the service does not identify a particular condition, risk, defect, hazard, leak, mold condition, code issue, emergency condition, or future restoration need.
Unless otherwise stated in writing, fees are charged for the documentation and review service and are not contingent upon Client’s use of the deliverables, future restoration work, insurance reimbursement, or any particular outcome.
14. Restoration Service Credits
Certain URS PropertyShield packages may include a restoration service credit. Restoration credits are subject to the terms stated in the applicable offer, order page, invoice, or written agreement.
Unless otherwise stated in writing:
- Restoration credits apply only to qualifying restoration work performed by URS.
- Credits are valid for twelve (12) months from the date of the URS PropertyShield service.
- Credits require the stated minimum qualifying restoration work amount.
- Credits have no cash value.
- Credits are not refundable.
- Credits are not transferable.
- Credits may not be combined with other discounts, offers, or credits unless approved by URS in writing.
- Only one credit may be applied per property or project unless URS agrees otherwise in writing.
- Credits may not be used for emergency service minimums, deductibles, third-party costs, testing fees, permit fees, government fees, or other excluded charges unless URS agrees in writing.
Current example credit structure, if offered:
- $495 credit toward qualifying URS restoration work of $3,500 or more
- $995 credit toward qualifying URS restoration work of $6,500 or more
- $1,495 credit toward qualifying URS restoration work of $9,500 or more
- $2,750 credit toward qualifying URS restoration work of $15,500 or more
URS may modify, discontinue, or limit restoration credit offers prospectively at any time.
15. No Insurance, Claim, or Coverage Guarantee
URS PropertyShield does not guarantee insurance coverage, claim approval, claim payment, damage valuation, reserve reduction, premium reduction, loss prevention, or any particular insurance outcome. Client should consult its insurance broker, carrier, adjuster, or legal advisor regarding insurance matters.
16. No Emergency Monitoring or Ongoing Duty
URS PropertyShield is a point-in-time documentation and review service. Unless separately agreed in writing, URS does not provide ongoing monitoring, surveillance, alarm response, leak detection, maintenance tracking, property management, or emergency dispatch services.
After deliverables are provided, URS has no ongoing duty to update, monitor, re-inspect, or revise the deliverables unless separately contracted in writing.
17. SMS Communications
Where SMS messaging is available, URS may send PropertyShield text messages only to contacts who have directly opted in through a confirmation text or another applicable PropertyShield intake, client portal, onboarding, or written confirmation process. SMS messages may relate to emergency-readiness alerts, urgent property response coordination, report follow-up, document/readiness status, scheduling, and service support.
Consent to receive SMS messages is not a condition of purchase. Message and data rates may apply. Message frequency varies. Recipients may reply STOP to the same URS PropertyShield SMS number to opt out, HELP for assistance, or START/YES to opt back in where supported. SMS delivery may depend on carrier approval, sender registration, network availability, phone number accuracy, and provider performance.
18. Confidentiality
URS will use commercially reasonable efforts to treat non-public Client information as confidential. URS may disclose information as needed to perform the services, use third-party vendors, communicate with Client’s authorized representatives, respond to emergencies, comply with law, enforce agreements, protect rights or safety, or operate its business.
Client is responsible for informing URS in writing of any specific confidentiality, security, tenant, regulatory, or contractual requirements before services begin.
19. Limitation of Liability
To the fullest extent permitted by law, URS’s total liability arising out of or relating to URS PropertyShield services, whether in contract, tort, negligence, strict liability, warranty, or otherwise, shall not exceed the amount paid by Client to URS for the specific URS PropertyShield service giving rise to the claim.
To the fullest extent permitted by law, URS shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including lost rents, lost business, loss of use, loss of data, loss of insurance proceeds, business interruption, or increased repair costs.
Some jurisdictions may not allow certain limitations, so some limitations may not apply to a particular Client.
20. Indemnification
Client agrees to defend, indemnify, and hold harmless URS and its owners, officers, employees, agents, subcontractors, vendors, and affiliates from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- Client-provided information
- Client’s lack of authority to authorize the services
- Site access issues
- Unsafe or undisclosed property conditions
- Client’s misuse of deliverables
- Client’s sharing of sensitive property information
- Claims by tenants, occupants, boards, owners, vendors, or other third parties arising from Client’s use of the services or deliverables
- Client’s breach of these Terms
21. Disclaimer of Warranties
URS PropertyShield services and deliverables are provided on a practical, informational, and documentation-support basis. To the fullest extent permitted by law, URS disclaims all warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and suitability for any particular legal, insurance, engineering, architectural, environmental, or regulatory purpose.
22. Force Majeure
URS is not responsible for delay or failure to perform caused by events beyond its reasonable control, including emergencies, severe weather, labor shortages, supply issues, utility failures, internet or platform outages, acts of God, governmental actions, building access restrictions, illness, accidents, or other circumstances outside URS’s reasonable control.
23. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
24. Dispute Resolution and Venue
Any dispute arising out of or relating to these Terms or URS PropertyShield services shall be handled in the state or federal courts located in New York, unless the parties agree in writing to mediation, arbitration, or another dispute-resolution process.
Optional attorney review item: URS should decide whether to include mandatory mediation, arbitration, small-claims carveouts, class-action waiver language, jury-trial waiver language, or a specific county venue provision.
25. Changes to These Terms
URS may update these Terms from time to time. Updated Terms will apply prospectively as of the effective date stated in the updated version. The Terms in effect at the time of purchase or service order will generally govern that order unless otherwise required by law or agreed in writing.
